By accessing or using SignaTrust ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users, including document senders, signers, and observers.

2. Description of Service

SignaTrust provides a blockchain-secured digital signature platform that enables users to:

  • Create and send documents for electronic signature
  • Sign documents electronically
  • Verify document authenticity via blockchain records
  • Analyze documents using AI-powered risk assessment
  • Store and manage signed documents securely

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized account access
  • Accept responsibility for all activities under your account

4. Electronic Signatures

By using SignaTrust to sign documents electronically, you acknowledge and agree that:

  • Your electronic signature is legally binding and equivalent to a handwritten signature under applicable law (including the U.S. ESIGN Act and UETA)
  • You consent to conducting transactions electronically
  • You are authorized to sign documents on your own behalf
  • Document hashes recorded on the blockchain serve as immutable proof of signing

5. Subscription Plans and Payments

5.1 Subscription Tiers

We offer Free, Pro, and Business subscription plans with varying features and limits. Plan details and pricing are available on our website.

5.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for recurring fees until you cancel.

5.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or to violate any laws
  • Upload documents containing malware or malicious code
  • Impersonate another person or entity
  • Attempt to gain unauthorized access to the Service or other accounts
  • Interfere with or disrupt the Service or its infrastructure
  • Use the Service to send spam or unsolicited communications
  • Violate any third-party intellectual property rights

7. Content and Documents

7.1 Your Content

You retain ownership of documents you upload. By using the Service, you grant us a limited license to store, process, and display your documents as necessary to provide the Service.

7.2 Blockchain Records

You understand that cryptographic hashes of signed documents are recorded on the Solana blockchain and cannot be deleted or modified. The actual document content is not stored on the blockchain.

8. AI Features

The Service includes AI-powered document analysis features. You acknowledge that:

  • AI analysis is provided for informational purposes and does not constitute legal advice
  • AI-generated insights may not be complete or accurate and should not replace professional review
  • Document content may be processed by third-party AI services (Google Gemini)

9. Intellectual Property

The Service, including its design, features, and technology, is owned by SignaTrust Inc. and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNATRUST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless SignaTrust, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

13. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason. Upon termination, your right to use the Service immediately ceases. You may export your documents before termination.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting updated Terms on our website. Continued use of the Service after changes constitutes acceptance of the new Terms.
